The agreement between you and NUIRA Technologies Inc. for using the NU._.IRA Band, the app, and Awen. Written as plainly as we can, but still a legal document.
These Terms and Conditions ("Terms") govern your access to and use of the NU._.IRA Band, the NU._.IRA app, the Awen companion, and our websites and related services (together, the "Service"), provided by NUIRA Technologies Inc. ("NUIRA", "we", "us").
By creating an account, registering your interest, or using any part of the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. The Service
NU._.IRA is a wellbeing practice: a wearable NU._.IRA Band, an app, and Awen, a companion that reflects your physiological signals back to you in plain language and offers practices. It is designed to support self-awareness, breath, and nervous-system regulation.
2. Not a medical device
The Service is a wellness and growth companion, not a medical device. It does not diagnose, treat, cure, or prevent any disease or condition, and nothing it shows you is medical advice. Always consult a qualified healthcare professional about any health concern, and never disregard professional advice because of something the Service told you. In an emergency, contact your local emergency services.
3. Eligibility and your account
You must be at least the age of majority where you live to use the Service. You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for all activity under your account. Tell us promptly if you suspect unauthorised use.
4. Trials, subscriptions and payment
Some features require a paid subscription, which may begin with a free trial. Trial length, price, billing interval, and renewal terms are shown to you before you subscribe. Subscriptions renew automatically until cancelled; you can cancel any time from your account, which stops future charges and takes effect at the end of the current paid period. The NU._.IRA Band is a one-time hardware purchase.
5. Acceptable use
You agree not to misuse the Service: no reverse-engineering or interfering with it, no unlawful, harmful, or infringing use, no attempts to access another person's account or data, and no use that disrupts or degrades the Service for others.
6. Your data and content
Your biometric and personal data belong to you. We handle them as described in our Privacy Policy, which forms part of these Terms. You grant us only the limited rights needed to operate and improve the Service for you, and we do not sell your data.
7. Intellectual property
The Service, including the NU._.IRA Band design, software, Awen, the NU._.IRA name and marks, and all related content, is owned by NUIRA or its licensors and protected by law. We grant you a personal, non-exclusive, non-transferable licence to use the Service for your own wellbeing. You keep ownership of the content you create.
8. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose. We do not warrant that the Service will be uninterrupted, error-free, or perfectly accurate; readings are estimates, not clinical measurements.
9. Limitation of liability
To the fullest extent permitted by law, NUIRA will not be liable for any indirect, incidental, special, or consequential damages, or for any loss arising from your reliance on the Service. Where liability cannot be excluded, it is limited to the amount you paid us for the Service in the twelve months before the claim.
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or end your access if you breach these Terms or to protect the Service or other users. On termination your right to use the Service ends; sections that by their nature should survive will continue to apply.
11. Changes to these Terms
We may update these Terms as the Service evolves or the law requires. If we make a material change we will give reasonable notice. Continuing to use the Service after changes take effect means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of British Columbia have jurisdiction, subject to any mandatory consumer-protection rights you have where you live.
